1. About Us
S. The Agency ("we", "us", "our") is a social media agency based in London, United Kingdom, operating at stheagency.co.uk. References to "you" or "the client" refer to any person or business using our website or services.
2. Use of Our Website
By accessing stheagency.co.uk, you agree to use the website lawfully and in a manner that does not infringe the rights of others. You must not:
- Use the website in any way that is unlawful, fraudulent, or harmful
- Copy, reproduce, or redistribute any content from this website without our prior written permission
- Attempt to gain unauthorised access to any part of the website or its related systems
- Use the website to transmit unsolicited communications or malicious code
We reserve the right to restrict or terminate access to the website at any time without notice.
3. Our Services
S. The Agency provides social media management, brand strategy, content creation, paid social advertising, and related digital marketing services. The specific services, deliverables, timelines, and fees for each client engagement are outlined in a separate Service Agreement and/or proposal document provided prior to commencement of work.
These Terms & Conditions apply alongside any specific Service Agreement. Where there is a conflict, the Service Agreement takes precedence.
4. Pricing & Payment
All prices quoted by S. The Agency are in British Pounds Sterling (GBP) and are exclusive of VAT unless otherwise stated.
- A 50% deposit is required before work commences on all new client engagements
- Remaining balances are invoiced monthly in advance
- Invoices are due within 14 days of the invoice date
- Late payments beyond 14 days may incur a late payment fee of 5% per month on the outstanding balance
- We reserve the right to pause or cease services for accounts with outstanding invoices beyond 30 days
5. Minimum Commitment & Cancellation
All retainer services require a minimum commitment of 3 months. After the minimum term, either party may terminate the agreement with 30 days' written notice.
To cancel, please send written notice to hello@stheagency.co.uk. Notice periods are calculated from the date we confirm receipt of your cancellation request.
All fees due up to and including the notice period remain payable. Deposits paid are non-refundable once work has commenced.
6. Intellectual Property
All content, designs, strategies, and materials created by S. The Agency for a client become the property of the client upon receipt of full payment for the relevant services.
Until full payment is received, S. The Agency retains all intellectual property rights in the work produced.
S. The Agency reserves the right to feature completed client work in its portfolio, case studies, website, and marketing materials, unless the client has made a written request otherwise prior to commencement of work.
All content, branding, and materials on stheagency.co.uk (except where noted) remain the intellectual property of S. The Agency. Unauthorised use is strictly prohibited.
7. Client Responsibilities
To enable us to deliver our services effectively, clients agree to:
- Provide timely access to social media accounts, brand assets, logins, and any other information we reasonably require
- Review and approve (or request revisions to) content within the agreed 48-hour approval window
- Ensure that any materials provided to us do not infringe third-party intellectual property rights
- Notify us promptly of any changes that may affect the delivery of services
Delays caused by the client that impact our ability to deliver on schedule are not the responsibility of S. The Agency.
8. Revisions & Scope
Each service package includes a reasonable number of revisions as outlined in the relevant proposal or service agreement. Requests for revisions beyond the agreed scope, or requests for work outside the agreed services, may be subject to additional fees.
Any significant changes to the scope of work must be agreed in writing before additional work commences.
9. Confidentiality
Both S. The Agency and the client agree to keep all confidential information shared during the course of the engagement strictly confidential. Neither party will disclose confidential information to any third party without the prior written consent of the other party, except where required by law.
This obligation survives the termination of any service agreement.
10. Limitation of Liability
S. The Agency will exercise reasonable care and skill in delivering its services. However, we cannot guarantee specific results including follower growth, engagement rates, or revenue generated from social media activity, as these are subject to factors outside our control.
To the fullest extent permitted by law, S. The Agency shall not be liable for any indirect, incidental, consequential, or special damages arising from the use of our services or website.
Our total liability to any client shall not exceed the total fees paid by that client in the 30 days preceding the claim.
11. Third-Party Platforms
Our services involve the use of third-party social media platforms (including Instagram, TikTok, Facebook, LinkedIn, and others). S. The Agency is not responsible for any changes to these platforms' algorithms, policies, features, or availability that may affect the delivery or results of our services.
12. Disclaimers
This website and its content are provided on an "as is" basis. We make no warranties, express or implied, regarding the accuracy, completeness, or suitability of any information on the site.
We do not guarantee that the website will be uninterrupted, error-free, or free of viruses or other harmful components.
13. Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or the use of our website and services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
